Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Checkdepo check-authorization service, website, and related applications (the "Service"), operated by BioeFunds LLC ("Checkdepo," "we," "us," or "our"). By using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.

The service

Checkdepo provides tools that read information from a check submitted by a merchant, verify that information, and return an authorization decision from a check-authorization network. The Service is intended for use by businesses accepting checks, not for consumer use.

Authorization decisions

An authorization decision reflects the result returned by the applicable check-authorization network at the time of the request, based on the information submitted. Decisions are provided to help you decide whether to accept a check. The scope of any guarantee, coverage, or recourse associated with an approved item is governed by your separate agreement with Checkdepo and/or the applicable authorization or payment provider, and is not created by these Terms alone.

Your responsibilities

• Provide accurate information and submit clear, legible images of genuine checks.
• Use the Service only for lawful business purposes and in compliance with applicable law and payment-network rules.
• Keep your account credentials and any provisioned access secure, and be responsible for activity under your account.
• Obtain any consents required to submit a check and a check-writer's information through the Service.

Fees

Fees for the Service, if any, are as set out in your separate agreement or order with Checkdepo. Your mobile carrier's message and data rates may apply to text messages; see our SMS Terms.

Acceptable use

You may not misuse the Service, including by submitting fraudulent or unauthorized checks, attempting to interfere with or reverse-engineer the Service, or using it to violate any law or third-party right.

Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Checkdepo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Checkdepo does not warrant that the Service will be uninterrupted, error-free, or that any decision will prevent all loss.

Limitation of liability

To the fullest extent permitted by law, Checkdepo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or relating to the Service. Checkdepo's total liability arising out of or relating to the Service is limited to the amounts you paid to Checkdepo for the Service in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold Checkdepo harmless from claims arising out of your use of the Service, your submission of checks or information, or your breach of these Terms.

Changes & termination

We may modify these Terms or the Service, or suspend or terminate access, at any time. Material changes to these Terms will be indicated by updating the "Last updated" date above.

Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles.
